By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis (monthly or annually, as selected). All payments are processed via secure third-party payment processors.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, except where required by applicable law.
All content, software, designs, trademarks, and technology on our platform ("Vyala IP") are owned by or licensed to Vyala Technologies. You may not copy, modify, distribute, sell, or lease any part of our IP without our prior written consent.
You retain ownership of any data, content, or materials you upload or create through our services ("Your Content"). By using our services, you grant us a limited, non-exclusive licence to use Your Content solely to provide and improve our services to you.
Content generated by our AI tools on your behalf ("AI Outputs") is provided to you for your use. You are responsible for reviewing and verifying all AI Outputs before use. We make no guarantees about the accuracy, completeness, or fitness of AI Outputs for any particular purpose.
Each party agrees to keep the other's confidential information private and not to disclose it to third parties without consent. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Our platform may integrate with or link to third-party services (e.g. CRM tools, payment processors, communication platforms). We are not responsible for the availability, accuracy, or practices of such third-party services. Your use of them is subject to their own terms and policies.
Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) INR ₹8,500.
You agree to indemnify, defend, and hold harmless Vyala Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we believe you have violated these Terms or for any other legitimate business reason. You may terminate your account at any time by contacting us or through your account settings.
Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including IP ownership, disclaimers, and limitations of liability) will remain in effect.
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting us at info@vyala.tech.
